01 · What it is

A mission-driven steward, not an operator.

The Boli Foundation governs the $BOLI utility token. It holds the treasury, sets token policy, hosts the canonical ecosystem reference (the platform whitepaper), and designs the Boli Standards Proposals (BSPs) — open-source specifications anyone can use. $BOLI sits within the Foundation's perimeter only.

The Foundation does not ship the platform, does not custody assets, does not run regulated venues, and is not a counterparty to platform customers. The Boli Platform — a separately-incorporated engineering organisation — builds and operates the operating layer for regulated tokenized assets on Canton, with EVM and SVM interoperability. See boli.technology. The Boli Foundation and the Boli Platform are independent; neither sits above the other.

Until the Foundation is formally incorporated, governance runs on-chain as a DAO of contributors. The path to incorporation is detailed under governance.

02 · What it stewards

Three things, deliberately separate from the platform.

A · Token

$BOLI

Utility token governed by the Boli Foundation. Non-revenue-bearing. Structured under MiCA Title II as a utility token — not an asset-referenced token, not an e-money token, not a security. Treasury is a mission resource, not a profit pool. Interoperable with the Boli Platform on the same terms as any other interoperable token; no coupling.

B · Whitepaper

Platform whitepaper

The canonical reference for the Boli Platform: three Daml asset patterns, multi-VM mirroring, compliance-as-code, agentic operations, settlement on Canton. The Foundation hosts the canonical version for the ecosystem; the Platform builds independently.

C · Standards

Boli Standards Proposals

The Foundation designs the BSPs — pattern A (Tradeable), pattern B (Registry-Mirror), pattern C (Credential), and the compliance/identity packs around them. Open source under CC BY 4.0; anyone can implement them, including the Boli Platform. The Boli Association conducts separate, independent research.

03 · Lifecycle

On-chain today. Incorporated independently ahead of mainnet.

    Today — on-chain steward

    Governance runs as a DAO of contributors. Treasury and protocol parameters live on-chain. The Foundation is recognisable by what it publishes and how it decides, not by a legal letterhead.

  2. 02

    Ahead of mainnet — incorporation

    A formal legal foundation will be incorporated in a recognised foundation jurisdiction. The on-chain DAO ratifies the charter, the legal foundation takes over the treasury and the publishing functions, and the on-chain governance becomes the constitutional layer above the legal vehicle.

  3. 03

    After mainnet — operating in steady state

    The Foundation governs $BOLI, designs the BSPs, and runs ecosystem-grant and token-policy decisions. The Boli Platform builds and integrates separately, as a commercial service provider.
