On-chain today. Incorporated independently ahead of mainnet.

The Boli Foundation is established on-chain today as a DAO of contributors. A formal legal foundation will be incorporated in a recognised foundation jurisdiction ahead of mainnet. The on-chain constitution is the source of truth; the legal entity is the vehicle through which it operates in the off-chain world.


The three states of the Foundation

    Today — on-chain steward

    Governance runs as a DAO of contributors. Treasury parameters and protocol decisions are made on-chain. The Foundation is recognisable by what it publishes (whitepaper, BSPs) and how it decides (on-chain proposals), not by a legal letterhead. There is no central legal entity holding the treasury yet.

    Ahead of mainnet — incorporation

    A legal foundation is incorporated in a recognised foundation jurisdiction (under review; jurisdictions like Switzerland, Liechtenstein, Cayman, and the UAE foundation regimes are among those evaluated). The on-chain DAO ratifies the foundation charter. The legal foundation takes over treasury custody and the publishing functions. The on-chain constitution remains the constitutional layer.

    After mainnet — operating in steady state

    The legal foundation operates under its charter, with on-chain governance as the constitutional layer above it. It administers ecosystem grants, BSP design, and token-policy decisions. The Boli Platform and the Boli Association continue independently — the Foundation does not govern them.

What the Foundation governs

The Foundation's mandate is narrow and explicit:

  • $BOLI token policy — issuance, supply, treasury allocation, distribution programs, regulatory disclosures.
  • Treasury stewardship — custody of the $BOLI treasury and any associated assets, within the Foundation's legal perimeter.
  • Whitepaper as canonical reference — hosting the canonical version of the Boli Platform whitepaper for the ecosystem. The Foundation does not author or build the platform.
  • BSP design — designing the Boli Standards Proposals in the open. The BSPs are open source under CC BY 4.0; anyone can implement them, including the Boli Platform.
  • Ecosystem grants — programs that fund work consistent with the Foundation's mission.

What the Foundation does not govern

The Foundation's mandate is limited to $BOLI and the artefacts published under its imprint. It does not:

  • Govern, direct, or supervise the Boli Platform. The Platform is a separately-incorporated commercial service provider.
  • Operate the platform, hold customer assets, run regulated venues, or act as counterparty to platform customers.

On-chain governance today

The DAO that runs governance today is contributor-weighted. Decisions are recorded on-chain. The on-chain artifacts constitute the Foundation's constitution and will be referenced by the legal charter at incorporation.

The path to incorporation

Incorporation is treated as the formalisation of an existing structure, not the creation of a new one. The Foundation exists on-chain today; the legal entity inherits that structure rather than replacing it.

The jurisdiction will be selected on a combination of foundation-law fit, regulatory clarity for digital-asset stewardship, and operational practicality. The decision will be ratified on-chain by the DAO before the entity is filed.
